Welcome to FlexSurplus. These Terms and Conditions (“Terms”) govern your access to and use of the FlexSurplus platform, including all related services, features, and content (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Platform Overview

FlexSurplus operates as an online B2B marketplace that connects buyers and sellers of flexible packaging materials and related products.

 

FlexSurplus acts solely as an intermediary and:

 

  • Does not take ownership of listed materials

  • Does not participate in transactions between users

  • Does not act as an agent, broker, or distributor

 

The Platform is intended for business users (B2B). Consumers (as defined under applicable consumer protection laws) are not permitted to use the Platform.

2. Eligibility and User Responsibilities

By using the Platform, you confirm that:

 

  • You are acting in a business or professional capacity

  • You have the authority to bind the entity you represent

  • You comply with all applicable laws and regulations

3. User Accounts

Users may be required to create an account to access certain features.

 

You agree to:

 

  • Provide accurate and complete information

  • Maintain the confidentiality of your login credentials

  • Be responsible for all activities under your account

 

FlexSurplus reserves the right to suspend or terminate accounts at its discretion.

4. Listings and Seller Responsibilities

By submitting a listing, you represent and warrant that:

 

  • All information provided is accurate, complete, and not misleading

  • You have the legal right to sell or offer the material

  • The material complies with applicable laws and regulations

  • Any specifications, including Technical Data Sheets (TDS), correspond to the actual material

  • Any known defects, off-spec characteristics, or limitations are disclosed

 

The Seller Declaration, accepted during listing submission, forms an integral part of these Terms.

 

Sellers are solely responsible for:

 

  • The content of their listings

  • The condition, quality, and legality of materials

  • Storage, handling, and compliance with industry standards

5. Buyer Responsibilities

Buyers acknowledge and agree that:

 

  • They are responsible for evaluating the suitability of materials before use

  • They should perform appropriate testing, sampling, or verification

  • They enter transactions at their own risk

 

FlexSurplus does not guarantee that materials will meet buyer expectations or production requirements.

6. Transactions Between Users

All transactions are conducted directly between buyers and sellers.

 

FlexSurplus:

 

  • Is not a party to any agreement

  • Does not guarantee payment, delivery, or performance

  • Does not handle logistics, storage, or shipping, unless specifically defined

 

Users are solely responsible for:

 

  • Negotiating terms

  • Executing agreements

  • Handling disputes

7. Fees (If Applicable)

FlexSurplus reserves the right to introduce fees for listings, transactions, or premium services.

Any applicable fees will be clearly communicated prior to implementation.

8. Prohibited Conduct

Users agree not to:

 

  • Post false, misleading, or fraudulent listings

  • Violate any applicable laws or regulations

  • Infringe on third-party rights

  • Use the Platform for unauthorized or harmful purposes

 

FlexSurplus reserves the right to remove content or restrict access without notice.

9. Content Rights

By submitting content to the Platform, you grant FlexSurplus a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content for the purpose of operating and promoting the Platform.

 

You retain ownership of your content.

 

FlexSurplus processes personal data in accordance with applicable data protection laws. Please refer to our Privacy Policy for more information.

10. Platform Availability

FlexSurplus does not guarantee uninterrupted or error-free operation of the Platform.

We reserve the right to:

 

  • Modify or discontinue features

  • Perform maintenance

  • Restrict access as needed

9. Content Rights

By submitting content to the Platform, you grant FlexSurplus a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content for the purpose of operating and promoting the Platform.

 

You retain ownership of your content.

11. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis.

FlexSurplus makes no warranties or representations regarding:

 

  • The accuracy of listings

  • The quality or condition of materials

  • The reliability of users

  • The outcome of transactions

 

FlexSurplus does not provide any warranties, express or implied, including but not limited to:

 

  • Merchantability

  • Fitness for a particular purpose

  • Compliance with specific production requirements

 

Buyers are responsible for conducting appropriate due diligence, including testing, sampling, and validation of materials prior to use in production.

12. Limitation of Liability

To the fullest extent permitted by law, FlexSurplus shall not be liable for:

 

  • Any inaccuracies or misrepresentations in listings

  • The quality, safety, or fitness of materials

  • Any disputes or damages arising from transactions between users

 

FlexSurplus shall not be responsible for:

 

  • Direct or indirect damages

  • Loss of profits

  • Production downtime

  • Business interruption

 

By using the Platform and accepting these Terms electronically, users agree that such acceptance constitutes a legally binding agreement.

 

13. Indemnification

You agree to indemnify and hold harmless FlexSurplus, its owners, and affiliates from any claims, damages, losses, or expenses arising from:

 

  • Your use of the Platform

  • Your listings or transactions

  • Your breach of these Terms

 

Nothing in these Terms shall be construed as creating any partnership, agency, or joint venture between FlexSurplus and its users.

14. Termination

FlexSurplus reserves the right to suspend or terminate access to the Platform at any time, without prior notice, for any reason, including violation of these Terms.

15. Governing Law

These Terms shall be governed by the laws of the Republic of Serbia.

Any disputes shall be subject to the exclusive jurisdiction of the courts in Belgrade, Serbia.

16. Changes to Terms

FlexSurplus reserves the right to update these Terms at any time.

 

Users will be notified of significant changes where appropriate. Continued use of the Platform constitutes acceptance of the updated Terms.

18. Entire Agreement
